The American Society for Clinical Laboratory Science is governed by leaders elected by the Society’s House of Delegates.
As the highest leadership body of the organization and to satisfy its fiduciary duties, the ASCLS Board of Directors will:
- set ASCLS’s strategic direction via organizational planning
- develop and/or approve policies and strategies that align with the ASCLS Mission to “…make a positive impact in health care through leadership that will assure excellence in the practice of laboratory medicine.”
- assess its own performance as the governing body of ASCLS
- select and evaluate the performance of the Executive Vice President/Chief Administrative Officer
- ensure strong fiduciary oversight and financial management by approving an annual budget and reviewing and accepting the Society’s annual audit and tax filings
- monitor ASCLS’s programs and services
- enhance the Society’s public image by contributing to ASCLS communications vehicles such as ASCLS Today
Qualifications/Eligibility
Members, who have been members for at least five consecutive years prior to election, are eligible for election to the Board of Directors of the Society. An officer of this Society may be nominated for a different office; where upon resignation of the currently held position is affected upon the installation in the new office.
The President will:
- know the organization’s mission, governing documents, policies, programs, and needs
- faithfully read and understand the organization’s financial statements
- serve as an active advocate and ambassador for the organization and fully engage in identifying and securing the resources necessary for ASCLS to advance its mission
- act as chair at all meetings of the Board of Directors and House of Delegates
- prepare for, attend, and conscientiously participate in board meetings
- professionally express their opinions during board discussions and debates and speak with one voice regarding final decisions by the Board of Directors
- exercise leadership in the motivation of other officers, board members, committee members, staff, and membership
- serve as Chief Elected Officer, representing the entire membership, and the best interest of the Society
- serve as chair of the Executive Committee and serve as a member of the Finance Committee
- serve as a liaison to ASCLS standing committees, taskforces, regions and constituent societies
- work in partnership with Executive Vice President/Chief Administrative Officer to accomplish the goals, objectives, and responsibilities set forth in the organization’s mission, governing documents, policies, and programs
Consistent with their fiduciary responsibilities, the ASCLS President will:
- follow the organization’s bylaws, policies, and board resolutions
- maintain confidentiality about all internal matters of ASCLS
- disclose conflicts-of-interest annually, if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
The President Elect will:
- know the organization’s mission, governing documents, policies, programs, and needs
- faithfully read and understand the organization’s financial statements
serve as an active advocate and ambassador for the organization and fully engage in identifying and securing the resources necessary for ASCLS to advance its mission - prepare for, attend, and conscientiously participate in board meetings
- professionally express their opinions during board discussions and debates and speak with one voice regarding final decisions by the Board of Directors
- observe closely the operations of ASCLS to prepare for the Office of President
- serve as a member of the Executive Committee
- serve as chair of the Committee on Long Range Planning
- serve as chair of the Appointments Committee
- serve as a liaison to ASCLS standing committees, taskforces, regions, and constituent societies
- assume and fulfill all duties of the President in the event of the President’s inability to perform duties
- perform other duties as assigned by the ASCLS President
Consistent with their fiduciary responsibilities, the ASCLS President Elect will:
- follow the organization’s bylaws, policies, and board resolutions
- maintain confidentiality about all internal matters of ASCLS
- disclose conflicts-of-interest annually, if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
The Secretary/Treasurer will:
- know the organization’s mission, governing documents, policies, programs, and needs
- faithfully read and understand the organization’s financial statements
- serve as an active advocate and ambassador for the organization and fully engage in identifying and securing the resources necessary for ASCLS to advance its mission
- prepare for, attend, and conscientiously participate in board meetings
- professionally express their opinions during board discussions and debates and speak with one voice regarding final decisions by the Board of Directors
- act as secretary at all meetings of the ASCLS Board of Directors and House of Delegates and ensure timely submission of minutes of those meetings for approval
- provide oversight of receipt and expenditures, annual budget, tax filings, and financial audits of the Society
- serve as chair of the Finance Committee and serve as a member of the Executive Committee
- provide updates on the finances of the Society to its membership as prescribed by the bylaws and procedures
- serve as a liaison to ASCLS standing committees, taskforces, regions, and constituent societies
- perform other duties as assigned by the ASCLS President

- follow the organization’s bylaws, policies, and board resolutions
- maintain confidentiality about all internal matters of ASCLS
- disclose conflicts-of-interest annually, if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
Members of the Board of Directors will:
- know the organization’s mission, governing documents, policies, programs, and needs
- faithfully read and understand the organization’s financial statements

Members of the Nominations committee will:
- Publicize position vacancies
- Secure nominees to run for elected positions
- Evaluate those nominees as to qualifications and experience
